The structural foundations of Ralliant Corporation trace back through generations of consolidation under Danaher Corporation and its subsequent 2016 spin-off, Fortive Corporation. Over decades, these conglomerates absorbed iconic electrical engineering brands like Tektronix (founded in 1946) and Keithley Instruments (founded in 1946), grouping them into a high-margin “Precision Technologies” product segment. While this division generated strong cash flows, its heavy focus on hardware manufacturing contrasted with Fortive’s long-term corporate pivot toward software-as-a-service (SaaS) and recurring digital workflow applications.

To unlock value and establish specialized market positioning, Fortive announced a comprehensive separation plan on September 4, 2024. The objective was to strip away the hardware-heavy instrument and sensor asset lines, allowing Fortive to emerge as a pure-play software and recurring-revenue business, while creating a distinct entity fully dedicated to secular growth trends in the digital, defense, and electric vehicle infrastructure spaces. The entity was officially named Ralliant Corporation in early 2025, and a specialized board of directors was organized under independent Chair Ganesh Moorthy (former CEO of Microchip Technology).

The tax-free spin-off was finalized on June 30, 2025, executed via a pro-rata dividend where Fortive shareholders automatically received one share of Ralliant stock for every three shares of Fortive stock held. As part of the separation agreement, Ralliant funded a $1.15 billion cash distribution back to Fortive, which its former parent utilized to bankroll a $550 million stock buyback program. Launching with an established pool of over 7,000 research, manufacturing, and field service personnel, Ralliant immediately began trading on the New York Stock Exchange under the ticker symbol RAL.
